Board of Directors, Charity Trustees and Governance

Introduction

Whatever the organisation’s legal structure, there will be a group of people (or one person) who hold final legal and financial responsibility for the organisation.

The generic term for this group is ‘governing body’, and other names used include Management Committee, Board of Directors and Trustees.

Their role in the organisation is taking overall responsibility for the organisation, providing direction, and ensuring accountability. This is often called governance.

Many arts organisations operating in the non-profit or charitable sectors use the legal structure of Company Limited by Guarantee (see also Legal Structures). This means that they have a Board of Directors as their governing body who are legally responsible for the organisation.

If the organisation has charitable status (see also Charitable Status), then the Board of Directors are also Charity Trustees.
